1. What Vynoriz provides

Vynoriz is a marketplace that helps businesses describe what they need, discover relevant professional services, connect with professionals and manage work through marketplace tools. Vynoriz may provide Business Help categories, service mapping, recommendations, opportunity feeds, messaging, applications, proposals, project workspaces, reviews and repeat-work tools.

Unless Vynoriz expressly states otherwise for a particular service, Vynoriz is not the professional performing the underlying work and does not become the employer, employee, agent, partner or joint venturer of a client or professional merely because they use the platform.

2. Accounts and Client/Professional modes

You must provide accurate account information and protect your credentials. One Vynoriz account may support Client mode, Professional mode, or both where enabled. Switching modes does not erase the activity or history associated with the other mode.

You are responsible for activity performed through your account unless you promptly report unauthorized access.

3. Professional profiles and services

Professionals must accurately describe their identity, experience, services, availability, skills, rates and qualifications. Selecting a Business Help service means the professional represents that they genuinely offer that service.

Verification badges and trust signals have the specific meaning displayed by Vynoriz. An email verification, profile-completeness signal, Vynoriz account verification or future identity verification must not be interpreted as a guarantee of quality, legal licensing or successful performance unless expressly stated.

4. Client requests

Clients must describe work honestly and provide enough information for professionals to evaluate the opportunity. Requests must not seek unlawful, deceptive, abusive or prohibited activity.

Budgets, deadlines and scope information are marketplace information and are not automatically binding until the relevant parties form an agreement.

5. Matching and recommendations

Vynoriz may map a client's description to Business Help services and rank professionals using declared services and relevant marketplace signals. Recommendations are discovery tools, not guarantees or endorsements.

Clients remain responsible for deciding whom to engage, and professionals remain responsible for deciding which opportunities to pursue.

6. Agreements between users

Clients and professionals are responsible for agreeing the scope, price, delivery expectations, revisions, ownership terms and other requirements of their work. Vynoriz tools may record some of these terms for convenience and project management.

A repeat-work invitation represents separate new work and does not reopen or rewrite a previously completed project.

7. Projects, messages and files

Users may use Vynoriz messaging and project tools to communicate, manage milestones, exchange approved files and record project completion. Users must have the right to upload and share any content they provide.

Completed project history may be retained to preserve marketplace integrity, reviews, dispute records and professional reputation.

8. Payments, fees, refunds and disputes

Vynoriz is currently in Early Access and does not currently process, hold or release marketplace payments. Vynoriz does not currently provide escrow. If clients and professionals arrange payment directly during Early Access, that payment takes place outside Vynoriz's integrated payment system and is not covered by Vynoriz payment protection because no such payment protection is currently active.

If integrated marketplace payments are activated later, Vynoriz will present the applicable provider, fees, payment states, release conditions, refund process and dispute rules inside the relevant transaction flow before payment is confirmed. Vynoriz will use the word escrow only where the implemented provider structure and applicable law genuinely permit that description.

9. Reviews and reputation

Reviews should reflect genuine marketplace experiences and must not be purchased, fabricated, manipulated or used for harassment. Vynoriz may investigate suspicious review activity and may remove content that violates these terms or applicable law.

10. Acceptable conduct

You may not use Vynoriz for fraud, impersonation, harassment, spam, malware, unlawful discrimination, intellectual-property infringement, prohibited transactions, attempts to defeat platform security, scraping that harms the service, or activity that violates applicable law.

Users should use Vynoriz's reporting tools when they encounter suspicious or abusive behavior.

11. Intellectual property

Vynoriz and its branding, interface, software and original platform content remain owned by Vynoriz or its licensors. Users retain rights in content they provide subject to the permissions reasonably required for Vynoriz to host, display, process and deliver that content through the marketplace.

Ownership of work created by a professional for a client should be agreed between those parties and may depend on payment, contract terms and applicable law.

12. Disputes between users

Clients and professionals should first use project records, messages and the agreed scope to resolve disagreements. Vynoriz may provide support, moderation or future payment-dispute processes, but does not guarantee that every dispute can be resolved to a user's preferred outcome.

13. Platform enforcement

Vynoriz may restrict, suspend or terminate access, limit content visibility or investigate activity when reasonably necessary to protect users, enforce these terms, respond to reports, comply with law or maintain platform security.

Administrative actions should be proportionate to the relevant risk and recorded where operationally appropriate.

14. Marketplace disclaimers and liability

Marketplace availability, matching and professional performance can vary. To the extent permitted by applicable law, Vynoriz does not guarantee that a particular professional will accept work, that a client will hire a professional, or that a project will achieve a particular commercial result.

Nothing in these terms excludes rights or liabilities that cannot legally be excluded. Any payment-specific limitation, governing-law or dispute-forum provisions required for integrated marketplace payments will be published with the applicable payment terms when those transaction features are activated.

15. Early Access, changes and contact

Vynoriz is currently operating in Early Access. Core marketplace features are available while integrated marketplace payments and general identity verification remain inactive. Vynoriz may update these terms as the marketplace, payment model, legal requirements or product features change, and material changes will be communicated appropriately.

Official support, operator and legal disclosures will be presented through Vynoriz's published site channels as required for the services and jurisdictions in which Vynoriz operates. Additional transaction-specific terms will be published before any integrated marketplace payment feature is activated.
